Affiliate Rewards Agreement

This agreement is between NewFlora LLC ("NewFlora", "we", "us") and you ("Affiliate", "you"). It applies when you join or take part in any NewFlora affiliate program, including the Referral Program (earning commission on sales) and Post Rewards (earning free products for approved content). By signing up, checking the agreement box on a NewFlora form, or taking part in either program, you agree to it.

1. Eligibility and Your Account. You must be at least 18 and give us accurate information. We approve participants at our discretion. One account per person. You are responsible for everything done under your account, link, or code.
2. Referral Program: Commissions. You earn a commission on qualifying orders placed through your referral link or code. Our affiliate platform tracks referrals, and its records are final.
   1. Rate. Your commission rate is set by NewFlora and shown in your affiliate dashboard or confirmed to you by email. We may change the rate for future orders. A change does not affect orders already placed.
   2. Qualifying orders. An order qualifies once it is paid and has not been returned, refunded, canceled, charged back, or flagged for fraud. Commission is calculated on the order amount you refer, not on taxes, shipping, or gift cards.
   3. No self-referrals. Orders placed by you, your household, or your own business do not qualify.
   4. Other discounts. Only one discount applies to an order. If a larger discount, such as a bundle discount, applies instead of your code, the order may not qualify for commission.
   5. Payment. Commissions are paid on the schedule and by the methods shown in your dashboard, after the return period for the order has passed. We may require tax forms before paying you, and you are responsible for your own taxes.
   6. Reversals. We may reverse or withhold commission on orders that are returned, refunded, charged back, or fraudulent, or earned in breach of this agreement.
3. Post Rewards: Free Products. NewFlora may offer free products in exchange for content you create about NewFlora. What content qualifies, how much product is offered, and how it is delivered are decided by NewFlora and may change. A reward is earned only when NewFlora approves your content. Rewards are free products only. They have no cash value, cannot be exchanged for cash or credit, and the right to receive them cannot be transferred to anyone else.
4. Using the Free Products. You may keep the products, give them to your patients or clients, or resell them. If you resell them, you must follow our Authorized Reseller Policy: https://newflora.com/pages/authorized-reseller-policy. If you are a healthcare professional, you remain responsible for following the rules of your own license and profession.
5. Your Content. You keep ownership of the content you create. By submitting it, you give NewFlora the license described in our Content Policy: https://newflora.com/pages/content-policy. For Post Rewards, that includes reposting your content and using it in advertising.
6. Independent Relationship. You are an independent participant, not an employee, agent, partner, or joint venturer of NewFlora. Nothing in this agreement creates an employment, agency, partnership, or franchise relationship. You are not entitled to wages, benefits, or insurance from NewFlora. You decide how, when, and where you create content and promote NewFlora, and you are responsible for your own expenses, taxes, and any licenses you need. You have no authority to make promises, sign anything, or enter into agreements on our behalf.
7. Ending Participation. Either of us may end your participation at any time by notifying the other. We may suspend or end it immediately if you break this agreement. After it ends, we will still pay commission on qualifying orders and fulfill rewards for content we approved before it ended, unless you broke this agreement or the earnings came from fraud.
8. Changes. We may change this agreement or either program. We will post the update here or notify you by email. Changes apply going forward and do not affect orders already placed or content already approved. If you keep taking part after a change, you accept it.
9. General. We do not guarantee any level of sales or earnings. The programs are provided as-is. Our total responsibility to you under this agreement is limited to the commissions and rewards you have already earned and not yet received. This agreement, together with our Content Policy, Privacy Policy, and Terms of Service, is the whole agreement between us. It is governed by the laws of California, and disputes will be heard in San Diego County, California.
